Subscription Policy & Terms of Service

This policy governs the subscription and continued use of services provided by Kinor Partners ("Service Provider," "We," "Us"). By subscribing to a service plan, the client ("Client," "You") agrees to be bound by these terms.

1. Service Plans and Scope

Our services are offered under two primary subscription models, as detailed on our product pages:

  • Pro Plan: Continuous Growth Retainer: A fixed retainer fee that ensures continuous, expert management of your Amazon channel.

  • Enterprise Plan: Partnership for Scale: A performance-based model where our financial success is aligned directly with yours.

2. Billing and Payment

  • Pro Plan Billing: The Client agrees to pay the fixed retainer fee of $2,000.00 on a monthly recurring basis.

  • Enterprise Plan Billing: The Client agrees to a blended fee structure:

    • Commission: 10% of gross monthly sales generated through the managed Amazon channel.

    • Minimum Monthly Fee: A minimum base fee of $500/month is required.

    • Fee Determination: The final monthly fee will be 10% of sales OR $500, whichever amount is greater.

  • Payment Terms: All fees are charged automatically to the Client’s stored payment method on the 1st day of each month. Failure to remit payment within 5 days may result in a temporary suspension of services.

3. Term and Automatic Renewal

  • Subscription Term: All plans are offered on a monthly basis and automatically renew for successive one-month periods unless formally canceled.

  • Automatic Renewal: All subscriptions automatically renew unless canceled by the Client in accordance with the Cancellation Policy below.

4. Cancellation Policy (Without Cause)

  • Client Initiation: The Client may cancel their subscription at any time by sending written notice to billing@kinorpartners.com.

  • Effective Date of Cancellation: Cancellation will take effect at the end of the current paid billing cycle. You will retain access to the services through the last day of the term.

  • No Refunds: Kinor Partners does not offer refunds for any partial month of service. All payments are non-refundable.

5. Disclaimer of Warranties

  • No Guarantees: Kinor Partners does not guarantee specific sales volumes, revenue, Amazon ranking, or profit margins. Services are performed on a "best effort" basis.

  • Client Responsibility: The Client retains sole responsibility for all aspects of their business, including inventory, regulatory compliance, product liability, and the accuracy of information provided to Kinor Partners.

6. Limitation of Liability

  • Maximum Liability: Kinor Partners' total liability for any and all claims arising out of this agreement shall be strictly limited to the total amount of fees paid by the Client to Kinor Partners during the three (3) months immediately preceding the event giving rise to the claim.

  • Exclusion of Consequential Damages: Kinor Partners shall not be liable for any indirect, special, incidental, or consequential damages (e.g., loss of profits, data, or business opportunity).

7. Termination for Cause by Client

  • Client Right to Terminate: The Client may terminate this agreement immediately, with written notice, if Kinor Partners is in material breach or if the Client reasonably determines the working relationship is no longer viable.

  • Notice and Refund: Written notice must be provided at least 14 days prior to termination. Kinor Partners will remit a pro-rata refund of any prepaid fixed retainer fee covering the remainder of the month following the termination date.

8. Termination for Cause by Service Provider

  • Service Provider Right to Terminate: Kinor Partners may terminate this agreement immediately, with written notice, if the Client:

    • Fails to make payments when due or is in material breach of any policy term.

    • Repeatedly fails to cooperate as required to execute services.

    • Engages in activity that violates Amazon's Terms of Service or regulatory compliance.

  • Final Actions: Upon termination by Kinor Partners for cause, the Client remains liable for all fees and charges incurred up to the termination date. No refund will be issued for any prepaid fixed retainer fees.
